Emerging Businesses

Formation of corporations, limited liability companies, limited and general partnerships is not that difficult.  Online services can readily do that.  But negotiating and allocating the rights and obligations of shareholders, partners, and members in those formation documents are another matter, and that takes experience and perception that I can bring to the table.  And after forming a new entity, management often needs employment, nondisclosure and non-competition agreements with their employees and consultants.  I can help you with those.

Financings

Term loans, revolving credit lines, real estate loans.   I have represented lenders and borrowers for my entire legal career in a full range of loan closings, from small private loans to large corporate financing.  Whether you are lending or borrowing money, I can help you with that.

Commercial Real Estate
